This Privacy Policy applies when you interact with us through BabyQuip.com, the BabyQuip mobile application, and any other feature or service owned or controlled by BabyQuip, Inc. (“BabyQuip”, “we,” or “us”) that posts or includes a link to this Privacy Policy (collectively, the “Service(s)”). This Privacy Policy informs you of our policies regarding the collection, use, and disclosure of personal information we receive from users of our Services and your choices. By accessing or using the Services, you consent to our Privacy Policy and our collection, use, and sharing of your information as described in this policy, our Terms of Use Customer Terms https://www.babyquip.com/terms or Quality Provider Terms https://www.babyquip.com/agreement.pdf and any additional policies and terms you may agree to in connection with the Services.

Our Services are intended for a general audience and are not intended for use by individuals younger than the age of 18. We do not knowingly collect personal information from children younger than the age of 18.

1.Collection of Information

We and our third-party service providers and business partners may collect information from you directly and automatically when you visit the Services and from third parties. Some of this information may be considered “personal information” or “personal data” under various applicable laws. We consider information that identifies you as a specific, identified individual (such as your name, phone number, and e-mail address) to be personal information. We will also treat additional information, including IP addresses and cookie identifiers, as “personal information” or “personal data” where required by applicable law.

We may take your personal information and de-identify or pseudonymize it to make it non-personally identifiable, either by combining it with information about other individuals and/or by hashing the information or otherwise removing characteristics that make the information personally identifiable directly to you. We maintain and use de-identified or pseudonymized data without attempting to re-identify it, except where permitted by applicable law, such as to determine whether our de-identification processes satisfy legal requirements. We will treat de-identified or pseudonymized information as non-personal to the fullest extent allowed by applicable law.

1.1 Information You Provide Directly: We may ask you to provide certain personal information when you interact with the Services. This information may include contact information, such as your name, address, and phone number, demographic information, such as the age and gender of your children, or billing information, such as your credit card number and billing address

We may also ask you to provide the contact information of another individual, such as when another person will be accepting, returning, or otherwise responsible for equipment you have rented. When you provide us with an individual’s contact information in this context, we will only use this information for the specific reason for which it was provided. If you believe that one of your contacts has provided us with your personal information and you would like to request that it be deleted, please contact us at [email protected].

1.2 Information We Collect Automatically: We and third-party advertising companies and business partners may use a variety of technologies that automatically or passively collect certain information whenever you visit our Services or otherwise interact with us or our content (“Usage Information”). Usage Information may include the hardware model, browser, and operating system you are using, the URL or advertisement that referred you to the Service you are visiting, all of the areas within BabyQuip’s Services that you visit, your time zone, location information, and mobile network (if applicable), among other information. In addition, we automatically collect your IP address or other unique identifier (“Device Identifier”) for any computer, mobile phone or other device you use to access our Services. In some cases, we may directly collect location information through your device. You may be able to turn off the collection of location information through the settings on your device. Usage Information is generally non-identifying, but if BabyQuip associates it with you as a specific and identifiable person, BabyQuip treats it as personal information.

  • Web Beacons:Small graphic images or other web programming code called web beacons (also known as “pixel tags,” “1×1 GIFs,” or “clear GIFs”) may be included in our web pages and email messages. Web beacons may be invisible to you, but any electronic image or other web programming code inserted into a web page or email can act as a web beacon. Web beacons or similar technologies may be used for several purposes, including, without limitation, to count visitors to the Service, to monitor how users navigate the Service, to count how many emails that were sent were opened, or to count how many particular links were actually viewed. We use similar tools to collect such information from mobile devices. In addition, we may use a variety of other technologies that collect similar information for security and fraud detection purposes.
  • Embedded Scripts: An embedded script is a programming code that is designed to collect information about your interactions with the Services, such as the links you click on. The code is temporarily downloaded onto your device from our server or a third-party service.
  • BabyQuip may record session interactions with Babyquip.com user interfaces, including what pages you visit on the Service, how long you visit those pages, the links you click, and your path through the Service, for website analytics purposes, solely for our internal business purposes, to improve our Services.

1.3 Location Data: In some cases, for example when you opt-in to collection of location data through our mobile applications or your web browser, we may directly collect location information through your device. You may be able to turn off the collection of location information through the settings on your device. However, please note that we may still be able to collect or infer your approximate location through other information we collect, such as IP address. In addition, some mobile service providers may also provide us or our third-party service providers with information regarding the physical location of the device used to access our Services.

1.4 Information from Third Parties and Social Media Platforms: We may receive information about you from third parties, including Independent Quality Providers, our business and referral partners, and marketing companies. When you purchase services from our business and referral partners, you may be provided the opportunity to interact directly with our Services through a referral link. If you use the referral link, the applicable business and referral partner may share certain information with us about you such as your name, contact information, and booking dates for purposes such as to help facilitate your use of our Services. We also host or facilitate interactions with social media platforms, like Facebook, YouTube, Pinterest, TikTok and Instagram. You may have the opportunity to log in through or otherwise connect your social media account. When you interact with social media through the Services, we will receive information about you from the social media service and you will be choosing to share information about your interactions with BabyQuip with that social media service. Note that through the social media features we have on the Services, third-party social media companies may be able to collect information about your interactions with our Services, including your IP address or other device identifiers, and which pages you visit on the Services regardless of whether or not you affirmatively interact with the social media company or whether or not you are logged into (or have) an account with them.

2. Purpose and Use of Information We Collect

We may use non-personal information for any purpose, including for advertising, research, and marketing purposes. We also use information that we collect, including personal information and Usage Information, as disclosed in this Privacy Policy and as follows:

  • to provide the Services to you and allow you to participate in the features we offer, including for the purposes of fulfilling your order, sending you an order confirmation, processing your payment, and communicating with you about your order;
  • to tailor and target content, recommendations, advertisements, and offers we display to you, both on BabyQuip and elsewhere online, and to send you communications with information about our products, and Services;
  • to contact you to respond to your customer service questions, feedback, or requests or to provide you with technical support;
  • to improve our Services and for legal, regulatory, and internal business purposes;
  • to fulfill any other purpose consistent with this Privacy Policy or for purposes disclosed to you at the time of collection or with your consent.

3. Sharing of Information

BabyQuip may share non-personal information, such as information about use of our Services, aggregated user statistics, or hashed and other de-identified or pseudonymized information with third parties, in our discretion.

In addition, we may share the information we have collected about you as disclosed at the time you provide your information or with your consent, and as described elsewhere in this Privacy Policy, including:

  • At Your Request/Publicly Posted Content. We may share information when you direct us to do so, such as if you choose to write a review on an Independent Quality Provider’s profile, link your account with a social networking service or other third-party application or feature through which information is shared, if you interact with us through a business or referral partner (as further described below), or if we present you with an opportunity to receive marketing offers from a third party. We do not control the actions of third parties, and you post content and share your information at your own risk.
  • Third Party Business & Referral Partners. WWhen you interact with one of our business or referral partners, such business or referral partners may share certain information about you with us (as described above) and we may also share certain information with those business and referral partners. The information we share with the business and referral partners may include your personal information (e.g. what you ordered through our Services), which the business and referral partners may use for their own purposes such as displaying the Services you purchased from us in your account with the business or referral partner.
  • Service Providers. We may share your information with service providers who provide Services on our behalf to help with our business activities. These companies are authorized to use your personal information only as necessary to provide these Services to us. These Services may include payment processing and sending marketing communications. Our third-party service providers may be located in the U.S., Canada, or other foreign jurisdictions.
  • Sweepstakes, Contests and Promotions. We may offer sweepstakes, contests, or other promotions (any of which, a “Promotion”) that may require registration. By participating in a Promotion, you are agreeing to the provisions, conditions, or official rules that govern the Promotion, which may contain specific requirements of you (including, except where prohibited by law, allowing the sponsor(s) of the Promotion to use your name, voice, likeness, or other indicia of persona in advertising or marketing materials). If you choose to enter a Promotion, personal information may be disclosed to co-promotion partners, third parties or the public in connection with the administration of such Promotion, including in connection with winner selection, prize fulfillment, as required by law, or as permitted by the Promotion’s terms or official rules.
  • Business Transitions. We may disclose your information in connection with a corporate transition such as a merger, acquisition, bankruptcy, or sale of all or a portion of our assets, including during the course of any due diligence process. By providing your personal information, you agree that we may transfer such information to the other entity in such a transaction without your further consent.
  • Administrative and Legal Reasons. We reserve the right to use or disclose any information as needed to satisfy or fulfill our obligations under any law, regulation or legal request; to protect the integrity of the BabyQuip; to fulfill your requests; to cooperate in a law enforcement investigation, an investigation on a public safety matter, or an investigation into claims of intellectual property infringement; to protect and defend the legal rights and/or property of BabyQuip and any of our corporate parents, subsidiaries, affiliates, and shareholders, or our Services, any of its users, or any other party; or, in an emergency, to protect the health and safety of Users or the general public.

4. Third-Party Advertising and Analytics Providers

We work with third-party service providers, such as network advertisers, ad agencies, analytics providers, and other advertising partners to serve BabyQuip ads on our Services and third-party websites, apps, and elsewhere online and offline, to send direct mail to customers whom we think may be interested in our Services, and to provide us with information regarding use of and traffic on our Services (including without limitation the pages viewed and the actions users take when visiting our Services) and the effectiveness of our advertisements. These third parties may set and access their own tracking technologies on your device (including cookies), and they may otherwise collect or have access to certain information about your use of the Services (such as Usage Information and Device Identifier). Some of these parties may collect personal information over time when you visit our Services or other online websites, and some may connect the information they collect through cookies and with other information about you, including your name and mailing address, for the purpose of sending you direct mail promotions.

We may also share certain information, such as device identifiers, Usage Information, and other types of de-identified or pseudonymized information with third-party advertising companies, analytics providers, and other third parties for the purpose of serving you more relevant ads on and off the Services. In addition, we and our third-party service providers may use this information to perform matching with third-party cookies to provide targeted online marketing.

We may use a variety of companies to serve our advertisements. Some of these companies are members of the Network Advertising Initiative (“NAI”) or the Digital Advertising Alliance (“DAA”) Self-Regulatory Program for Online Behavioral Advertising and you may want to visit the following webpages, which provide “opt-out” mechanisms for participating companies: optout.networkadvertising.org and http://www.aboutads.info/choices. Options for Our Mobile App: Mobile devices may contain settings that allow you to disable tracking advertising and/or analytics. You can opt-out from interest- based advertising on your mobile device through your mobile device settings. In addition, the digital advertising industry has provided the ability for mobile users to register their intent not to receive targeted advertising at http://www.aboutads.info/appchoices.

Please note that opting out through these mechanisms does not opt you out of being served advertising and you will continue to receive generic ads while online.

5. “Do Not Track”

Please note that your browser settings may allow you to automatically transmit a “Do Not Track” signal to websites and online Services that you visit. When you choose to turn on the “Do Not Track” settings in your browser, your browser will send a signal to websites, analytics providers, advertisements networks, plug-in providers, and other web service providers you encounter while browsing to stop tracking your activity. 6. Security

We follow commercially reasonable standards to protect the personal information submitted to us. We will protect personal information by reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification. However, no data transmission over the Internet, wireless transmission, or electronic storage of information can be guaranteed to be 100% secure, and BabyQuip cannot ensure or warrant the security of any information we collect. 7. Data Retention

We will only retain your personal information for as long as your account is active or as necessary to provide you Services, comply with our legal obligations, resolve disputes, and enforce our agreements.

8. Consent to International Transfer

BabyQuip is based in the United States. Please be aware that information we collect will be transferred to and processed in the United States and other countries. BabyQuip makes no representation that this Privacy Policy or the practices described in it comply with the laws of any other jurisdiction.

By using the Services, or providing us with any information, you fully understand and unambiguously consent to this transfer, processing, and storage of your information in the United States and other jurisdictions, for which the privacy laws may not be as comprehensive as those in the country where you reside and/or are a citizen. As a result, this information may be subject to access requests from governments, courts, or law enforcement in the United States and other countries according to laws in those jurisdictions. Your information will also be disclosed to third parties as described in the “Sharing of Information” section above.

9. Your Choices and Access/Correction/Deletion Requests

You are responsible for maintaining the accuracy of the data you submit to us, such as your contact data. You may update the data you have provided to us by logging into the “Account” setting or similar page on the Services. BabyQuip will make good faith efforts to make requested changes in our then active databases as soon as reasonably practicable. Note, however, that data may persist internally for administrative purposes and that residual data may remain on backup media or for other reasons. If you would like to access, correct, amend or delete personal data collected by BabyQuip through the Services, you may do so by completing [webform link].

You may also sign-up to receive our email newsletter. If you would like to discontinue receiving this information, you may update your email preferences by using the “Unsubscribe” link found in emails we send to you, or by contacting us at [email protected] . Please note that we reserve the right to send you certain communications relating to your account or use of the Services, such as administrative and services announcements. These transactional account messages may be unaffected if you choose to opt out from marketing e-mails. To opt-out of receiving our direct mail or catalogs, you may send us an email at [email protected] or call us at 201-695-8094. We will honor those requests, but please understand that it may take 10 days for such mailings to end.

Text Messages:If you sign up to receive SMS, MMS, or RCS messages from BabyQuip, you may unsubscribe by replying “STOP”.

Push Notifications: With your consent, we may send promotional and non-promotional push notifications or alerts to your mobile device. You can elect to stop receiving those messages by changing the notification settings in the BabyQuip app or on your mobile device.

10. Changes to This Privacy Policy

To the extent permitted by applicable law, we reserve the right to change or modify this Privacy Policy at our discretion at any time. We will notify you of any material changes by posting the changed or modified Privacy Policy on our Services. We may also provide notice to you in other ways, such as through contact information you have provided. Any changes will be effective immediately upon the posting of the revised Privacy Policy unless otherwise specified. Your continued use of the Services after the effective date of the revised Privacy Policy (or such other act as specified in the revised Privacy Policy) will, to the fullest extent permitted by applicable law, constitute your consent to those changes. However, we will provide notice and obtain your consent (opt-in or opt-out) if required by law. BabyQuip does not currently sell your covered information as those terms are defined under applicable Nevada law. You may still submit an opt-out request and we will honor that request as required by Nevada law if BabyQuip were to engage in such a sale in the future. In certain cases, we may rely on appropriate safeguards such as standard contractual clauses as a basis for the overseas disclosure.

Your Rights to Access and Correct Your Personal Information – You have the right to access and correct inaccuracies in your personal information in our custody and control, subject to certain exceptions prescribed by law. All BabyQuip personnel handling personal information will be subject to a duty of confidentiality and to ensure that all personal information is handled in accordance with standard security measures. By using the Service, you acknowledge and agree that your personal information will be transferred outside of Quebec.

We may use certain technologies that allow you to be located. Such as, when using our mobile app you may opt-in to the collection of your location in order to help you locate products near you. You may turn off the collection of precise location information at any time through the settings on your device.

We will only use your personal information for the purposes stated at the point of collection or as otherwise noted in this privacy policy. Transfers: Personal information we collect may be transferred to, and stored and processed in, the United States or any other country in which we or our affiliates or subcontractors maintain facilities.
